1. Acceptance of Terms

Welcome to TicketPulse. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TicketPulse ("we," "us," or "our") governing your access to and use of the TicketPulse website and services (collectively, the "Service").

By accessing or using TicketPulse, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

2. Description of Service

TicketPulse is a price tracking and notification service that monitors ticket resale prices on third-party platforms, currently focusing on StubHub listings. Our Service provides:

  • Price Tracking: Monitor ticket prices for events you're interested in by providing event URLs from StubHub
  • Price Alerts: Receive email notifications when prices drop below specified thresholds or when significant price changes occur
  • Historical Data: View price trends and historical pricing information for tracked events

Important Disclaimers:

  • TicketPulse is an independent service and is not affiliated with, endorsed by, or connected to StubHub or any other ticket marketplace
  • We do not sell tickets, process payments, or facilitate ticket transactions
  • We are a price monitoring tool only—all ticket purchases must be made directly through the respective ticket marketplace
  • Price information is provided for informational purposes only and may not reflect real-time accuracy

3. User Accounts and Responsibilities

3.1 Account Creation

To use certain features of the Service, you may need to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account login credentials. You agree to:

  • Use a strong, unique password
  • Not share your account credentials with others
  • Log out from your account at the end of each session
  • Notify us immediately at support@ticketpulse.com if you suspect unauthorized access

3.3 Age Requirement

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service solely for personal, non-commercial purposes to track ticket prices for events you are genuinely interested in attending.

4.2 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any applicable laws
  • Violate the terms of service of any third-party platforms (including StubHub)
  • Use automated systems (bots, scrapers, scripts) to access the Service beyond normal browser functionality
  • Attempt to gain unauthorized access to our systems, networks, or data
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Track excessive numbers of events in a manner that could be considered abusive or that places unreasonable burden on our systems
  • Use the Service to engage in price manipulation, scalping schemes, or fraudulent ticket activities
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Remove, obscure, or alter any legal notices displayed on the Service
  • Use the Service to collect or harvest personal information about other users
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • Transmit any viruses, worms, malware, or any code of a destructive nature
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service
  • Resell, redistribute, or commercialize access to the Service without our express written permission

4.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, graphics, design, and the selection and arrangement thereof) are owned by TicketPulse, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes, subject to these Terms.

You may not:

  • Copy, modify, distribute, sell, or lease any part of our Service
  • Create derivative works based on the Service
  • Use our trademarks, logos, or branding without our prior written consent
  • Frame or mirror any portion of the Service without our express written permission

5.2 User Content

You retain ownership of any data you provide to the Service (such as event URLs you choose to track). By providing such data, you grant us a limited, non-exclusive, royalty-free license to use, store, and process such data solely for the purpose of providing the Service to you.

5.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an unlimited, irrevocable, perpetual, royalty-free license to use such Feedback for any purpose without compensation or attribution to you.

6. Third-Party Services and Disclaimers

6.1 Third-Party Platforms

TicketPulse aggregates publicly available pricing data from third-party ticket marketplaces, including StubHub. We are not affiliated with, endorsed by, or responsible for these third-party platforms.

When you click through to purchase tickets on a third-party platform:

  • You leave our Service and are subject to that platform's terms of service and privacy policy
  • We are not a party to any transaction between you and the third-party platform
  • We cannot guarantee the availability, accuracy, or legitimacy of tickets on third-party platforms
  • All disputes regarding ticket purchases must be resolved directly with the respective platform

6.2 No Ticket Sales

TicketPulse does not sell tickets. We are solely a price tracking and notification service. All ticket purchases must be made directly through the respective ticket marketplace (e.g., StubHub).

6.3 Price Accuracy Disclaimer

While we strive to provide accurate and up-to-date pricing information:

  • Prices displayed on our Service may not reflect real-time availability or current pricing on third-party platforms
  • Prices are subject to change without notice
  • We do not guarantee the accuracy, completeness, or timeliness of price data
  • Price alerts and notifications are provided on a best-effort basis
  • Technical issues, delays, or third-party platform changes may affect data accuracy

Always verify current prices directly on the ticket marketplace before making a purchase.

6.4 No Guarantees

We do not guarantee:

  • That tracked prices will decrease
  • That you will receive alerts before tickets sell out
  • That tickets will be available at alerted prices when you attempt to purchase
  • Continuous, uninterrupted, or secure access to the Service
  • That the Service will be error-free or that defects will be corrected

7. Limitation of Liability

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will meet your requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected

7.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TICKETPULSE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Missed price drops, failed notifications, or inaccurate price information
  • Tickets purchased based on information provided by the Service
  • Any other matter relating to the Service

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

7.3 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED FIFTY DOLLARS ($50.00) OR THE AMOUNT YOU HAVE PAID US IN THE LAST SIX (6) MONTHS, WHICHEVER IS GREATER.

7.4 Essential Purpose

YOU ACKNOWLEDGE THAT THE FEES (IF ANY) CHARGED BY TICKETPULSE REFLECT THE ALLOCATION OF RISK SET FORTH IN THESE TERMS AND THAT TICKETPULSE WOULD NOT PROVIDE THE SERVICE WITHOUT THESE LIMITATIONS.

7.5 State-Specific Rights

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you, and you may have additional rights. The limitations and exclusions in this section apply to the maximum extent permitted by applicable law.

8. Service Availability and Modifications

8.1 Service Changes

We reserve the right at any time to:

  • Modify, suspend, or discontinue the Service (or any part thereof)
  • Change features, functionality, or availability of the Service
  • Impose limits on certain features or restrict access to parts or all of the Service
  • Update supported platforms (e.g., add or remove ticket marketplaces)

We will make reasonable efforts to notify users of material changes to the Service, but we are not obligated to do so.

8.2 No Liability for Changes

We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

8.3 Maintenance and Downtime

The Service may be temporarily unavailable from time to time for maintenance or other reasons. We assume no responsibility for any interruption, delay, or unavailability of the Service.

8.4 Platform Changes

Our ability to track prices depends on third-party platforms (such as StubHub). Changes to these platforms' structures, APIs, or terms of service may affect our Service. We are not responsible for limitations or service interruptions caused by third-party platform changes.

9. Termination

9.1 Termination by You

You may terminate your account at any time by:

We reserve the right to suspend or terminate your access to the Service, with or without notice, for any reason, including:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • At our sole discretion for any other reason

9.3 Effect of Termination

Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and all associated data
  • We are not required to maintain or provide you with copies of your data
  • All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

9.4 Data Retention

We may retain certain information as required by law or for legitimate business purposes. Please refer to our Privacy Policy for more information about data retention.

10. Indemnification

You agree to defend, indemnify, and hold harmless TicketPulse and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations
  • Any content you submit to the Service

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, you agree to contact us at support@ticketpulse.com to attempt to resolve the dispute informally. We will attempt to resolve disputes through informal negotiation in good faith.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

11.3 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in the United States. You hereby consent to the personal jurisdiction and venue of such courts.

11.4 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TICKETPULSE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and TicketPulse concerning the Service.

12.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

12.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.

12.5 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person other than you and TicketPulse.

12.6 Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

12.7 Notices

We may provide notices to you via email to the address you provided during registration, by posting on the Service, or by other reasonable means. You are responsible for keeping your email address current.

12.8 Export Controls

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs administered by the U.S. Treasury Department's Office of Foreign Assets Control.
